1. Introduction

Welcome to JOT ("JOT", "we", "us", or "our"), a community-driven platform that enables users to discover, share, recommend, and review restaurants, food, products, services, places, experiences, and other user-generated content. JOT is accessible through our website at https://jot.international (the "Site"), our mobile applications, and any other digital platforms, features, products, or services that we own, operate, or make available from time to time (collectively, the "Service").

These Terms and Conditions (the "Terms") govern your access to and use of the Service and constitute a legally binding agreement between you and JOT. These Terms incorporate our Privacy Policy (see Section 16) and any additional policies, guidelines, or rules that we may publish from time to time, all of which form part of these Terms by reference.

By accessing or using the Service, including but not limited to creating an account, registering as a pre-launch participant, joining the waitlist, submitting your information, participating in any referral or rewards programme, downloading or using the mobile application, or otherwise accessing any part of the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must immediately cease accessing or using the Service.

2. Eligibility

2.1

To access or use the Service, you must have the legal capacity to enter into a binding agreement under the laws applicable in your jurisdiction. In any event, you must be at least thirteen (13) years of age, or such higher minimum age required by the laws of your jurisdiction to lawfully consent to the collection, processing, and use of your personal data or to use online services.

2.2

If you are under eighteen (18) years of age or have not attained the age of majority in your jurisdiction, you represent and warrant that you have obtained the consent and supervision of your parent, legal guardian, or other person legally responsible for you before accessing or using the Service. Such parent or guardian shall be deemed to have accepted these Terms on your behalf and shall remain responsible for your access to and use of the Service.

2.3

By accessing or using the Service, you represent, warrant, and undertake that:

  1. you satisfy the eligibility requirements set out in this Sections;
  2. all information provided by you is true, accurate, complete, and not misleading;
  3. you possess the legal right, capacity, and authority to enter into and comply with these Terms; and
  4. your access to and use of the Service does not violate any applicable law, regulation, contractual obligation, or court order.
2.4

We reserve the right, at our sole discretion, to request proof of your age, identity, parental or guardian consent, or legal capacity at any time. Failure to provide satisfactory evidence upon request may result in the suspension, restriction, or termination of your access to the Service without prior notice.

3. Your Account

3.1

To access certain features of the Service, you may be required to create an account, register as a pre-launch participant, or join the waitlist. You agree to provide and maintain information that is accurate, complete, current, and up to date at all times.

3.2

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, verification codes, or any other authentication information. You shall be responsible for all activities conducted through your account, whether authorised by you or not, unless caused solely by our negligence or wilful misconduct.

3.3

You must immediately notify us upon becoming aware of any actual or suspected unauthorised access to, use of, or security breach affecting your account. We shall not be liable for any loss, damage, or liability arising from your failure to safeguard your account credentials or to notify us promptly of any unauthorised use.

3.4

You shall not:

  1. create multiple accounts for fraudulent, abusive, or deceptive purposes;
  2. impersonate any person or entity or falsely represent your identity or affiliation;
  3. transfer, sell, assign, lease, or otherwise permit another person to use your account without our prior written consent; or
  4. use another person's account without lawful authorisation.
3.5

We reserve the right, at our sole discretion and without prejudice to any other rights or remedies available to us, to suspend, restrict, deactivate, or terminate your account, remove or restrict access to any part of the Service, or refuse future registration where we reasonably believe that:

  1. you have breached these Terms;
  2. any information provided by you is false, inaccurate, incomplete, or misleading;
  3. your account has been used for unlawful, fraudulent, abusive, or unauthorised purposes;
  4. your continued use poses a security, legal, operational, or reputational risk to us, other users, or third parties; or
  5. your account has remained inactive for an extended period, subject to applicable law and our internal account retention policies.
3.6

Suspension or termination of your account shall not affect any accrued rights, obligations, liabilities, or remedies existing prior to such suspension or termination, including our right to retain records where required or permitted by applicable law.

4. The Service

4.1

JOT is a community-driven platform designed to enable users ("Jotters") to discover, share, review, recommend, and engage with restaurants, food, products, services, places, experiences, businesses, and other user-generated content through the Service.

4.2

Subject to these Terms, JOT may provide, among others, the following features:

  1. create, maintain, and personalise user profiles;
  2. publish, edit, and share reviews, ratings, photographs, videos, comments, recommendations, and other User Content;
  3. browse restaurant, business, creator, reviewer, and community profiles, together with ratings, reviews, rankings, recommendations, and other publicly available content;
  4. reward valuable community contributions through the "Starlets" community credibility system or any similar recognition programme introduced by JOT from time to time;
  5. apply for, participate in, or be invited to the "JOT Star" creator programme, which may provide eligible users with additional features, promotional opportunities, rewards, analytics, or other benefits, subject to separate eligibility criteria and programme terms;
  6. participate in referral programmes, waitlists, pre-launch campaigns, reward programmes, loyalty programmes, promotional campaigns, and the earning or redemption of JOT Coins or other digital rewards, subject to applicable programme rules; and
  7. where applicable, enable business owners or authorised representatives to claim, verify, manage, or administer business profiles, respond to community reviews, update business information, and access business-related features through the "For Businesses" platform.
4.3

The Service, including any feature, functionality, programme, reward, digital asset, ranking system, algorithm, or user interface, may be modified, enhanced, suspended, restricted, or discontinued at any time, temporarily or permanently, without prior notice and without liability, except where otherwise required by applicable law.

4.4

JOT does not guarantee the continuous availability of any particular feature, programme, benefit, reward, ranking methodology, or functionality. Access to certain features may be subject to eligibility requirements, geographic availability, technical limitations, verification procedures, subscription status, or additional terms.

5. User Content

5.1 Definition

5.1.1

For the purposes of these Terms, "User Content" means any information, material, data, text, photographs, videos, audio recordings, ratings, reviews, comments, recommendations, profile information, usernames, images, graphics, business information, messages, feedback, suggestions, or other content submitted, uploaded, posted, transmitted, published, or otherwise made available by you through the Service.

5.1.2

"Referral Link" refers to a unique URL generated by JOT to allow Jotters to invite others to sign up.

5.1.3

JOT Coins (“JC”) are digital reward points issued under the JOT’s promotional campaigns, and are digital reward points allocated to users as part of promotional campaigns conducted by JOT. These JC may be accumulated and used for redemption purposes at participating F&B or partner locations, subject to availability and campaign-specific terms. JC hold no cash value, do not constitute legal tender, and cannot be exchanged for cash or any monetary instrument.

5.1.4

Unique OG Link" refers to a Referral Link issued to OG Participants that is tagged at the backend to identify referrals for OG tracking and benefit calculation

5.2 Ownership

You retain ownership of your User Content and any intellectual property rights subsisting therein. Nothing in these Terms transfers ownership of your User Content to JOT.

5.3 Licence Granted to JOT

5.3.1

By submitting or making any User Content available through the Service, you irrevocably grant JOT and its affiliates, subsidiaries, successors, service providers, business partners, and licensees a worldwide, perpetual (to the extent permitted by applicable law), non-exclusive, royalty-free, transferable, sublicensable licence to:

  1. host, store, reproduce, copy, modify, adapt, translate, publish, distribute, transmit, communicate, display, perform, index, archive, and otherwise use such User Content;
  2. create derivative works from such User Content;
  3. use such User Content for the purposes of operating, maintaining, improving, developing, securing, promoting, marketing, training, analysing, and providing the Service and related products or services; and
  4. use your publicly available User Content in advertisements, promotional materials, social media, newsletters, educational materials, and other marketing activities relating to JOT,

without further notice, compensation, approval, or payment to you, except where prohibited by applicable law.

5.4

You represent, warrant, and undertake that:

  1. you own or have obtained all necessary rights, licences, permissions, and consents to submit your User Content;
  2. your User Content does not infringe or misappropriate any intellectual property, privacy, publicity, confidentiality, contractual, or proprietary rights of any third party;
  3. your User Content is accurate, genuine, lawful, and not misleading;
  4. any review or recommendation reflects your honest, genuine, and actual experience;
  5. you will clearly disclose any material relationship, sponsorship, incentive, employment, ownership interest, or other conflict of interest relating to the subject matter of your review or recommendation; and
  6. your User Content complies with these Terms and all applicable laws and regulations.

5.5 Content Moderation

5.5.1

JOT has no obligation to monitor User Content but reserves the right, at its sole discretion and without prior notice, to review, investigate, edit, remove, restrict, suspend, demonetise, de-rank, or refuse any User Content or account that it reasonably believes:

  1. violates these Terms;
  2. violates any applicable law or regulatory requirement; infringes the rights of any person;
  3. poses legal, security, operational, or reputational risks to JOT or its users; or
  4. is otherwise inappropriate, harmful, deceptive, abusive, or inconsistent with the objectives of the Service.
5.5.2

Removal of User Content shall not affect JOT's other legal rights or remedies.

5.5.3

Reviews, ratings, comments and other User Content represent solely the views, opinions and experiences of the individual users who posted them and do not necessarily reflect the views, opinions, recommendations or endorsements of JOT, its affiliates, officers, employees or representatives. JOT does not verify or guarantee the accuracy, completeness or reliability of any User Content and shall not be liable for any reliance placed upon such content by users or third parties. JOT reserves the right, but not the obligation, to review, moderate, remove or disable access to any User Content which it considers inappropriate, unlawful or in breach of these Terms.

6. Prohibited Conduct

6.1

You agree that you shall not, directly or indirectly:

  1. submit, publish, or procure any false, fabricated, misleading, manipulated, fraudulent, defamatory, malicious, or deceptive review, rating, recommendation, or other User Content;
  2. post reviews or recommendations in exchange for undisclosed compensation, gifts, incentives, discounts, or other benefits, or otherwise manipulate public opinion through undisclosed sponsored content;
  3. publish reviews concerning businesses, products, or services in which you have a financial interest, ownership interest, employment relationship, or other material connection without making clear and prominent disclosure;
  4. harass, threaten, intimidate, stalk, abuse, impersonate, or unlawfully discriminate against any individual or organisation;
  5. create multiple, fake, deceptive, or fraudulent accounts, or otherwise manipulate account registration, referrals, waitlists, rankings, reviews, Starlets, JOT Coins, rewards, promotional campaigns, or any community metric;
  6. use bots, scripts, artificial intelligence, automation tools, crawlers, click farms, or other automated means to access, scrape, manipulate, or interact with the Service without our prior written consent;
  7. interfere with, disrupt, overload, damage, reverse engineer, circumvent security measures, test vulnerabilities of, or gain unauthorised access to any part of the Service, servers, databases, systems, APIs, or networks;
  8. upload, transmit, distribute, or make available any unlawful, defamatory, obscene, offensive, discriminatory, hateful, violent, misleading, fraudulent, malicious, or otherwise objectionable content;
  9. infringe or misappropriate any copyright, trademark, patent, trade secret, privacy, publicity, confidentiality, or other proprietary rights of any person;
  10. collect, harvest, scrape, extract, copy, republish, reproduce, or commercially exploit any data, content, listings, reviews, rankings, or databases from the Service without our prior written consent;
  11. use the Service for unlawful, unauthorised, deceptive, or fraudulent commercial purposes, including unsolicited advertising, spam, or unauthorised marketing activities;
  12. introduce viruses, malware, ransomware, malicious code, or other harmful technologies into the Service;
  13. encourage, facilitate, assist, or attempt any activity prohibited under this Section; or
  14. otherwise use the Service in any manner that may adversely affect the integrity, security, operation, reputation, fairness, or intended purpose of the Service.
6.2

Any breach of this Section may result in the immediate suspension or termination of your account, forfeiture of any accumulated rewards, JOT Coins, referral benefits, Starlets, programme eligibility, or other incentives, removal of User Content, and the commencement of any legal proceedings or enforcement action available under applicable law.

7. Starlets, JOT Coins and Community Reward Programmes

7.1 Nature of Community Rewards

7.1.1

Starlets, JOT Coins, badges, rankings, creator status, community scores, loyalty points, referral rewards, promotional credits and any similar digital rewards or recognition features made available through the Service (collectively, "Community Rewards") are promotional features provided solely to enhance user engagement within the JOT ecosystem.

7.1.2

Community Rewards:

  1. do not constitute money, electronic money, cryptocurrency, securities, financial products, stored value, or any form of legal tender;
  2. have no monetary or cash value;
  3. are non-transferable, non-assignable, non-refundable and non-exchangeable except where expressly permitted by JOT;
  4. do not create any proprietary, contractual, vested or beneficial interest in favour of any user; and
  5. may only be used in accordance with these Terms and any additional programme rules published by JOT.

7.2 JOT's Rights

7.2.1

JOT reserves the absolute right, at any time and without liability, to:

  1. introduce, modify, suspend, discontinue or replace any Community Reward programme;
  2. amend the earning rates, redemption criteria, eligibility requirements, expiry periods, benefits or mechanics of any Community Reward;
  3. cap, reduce, adjust, freeze, cancel or revoke Community Rewards;
  4. reset rankings, credibility scores, badges or Starlets periodically or following platform updates;
  5. investigate suspicious activity relating to Community Rewards; and
  6. invalidate Community Rewards obtained through fraud, abuse, system manipulation or breach of these Terms.
7.2.2

Except where prohibited by applicable law, users shall not be entitled to compensation arising from any modification or discontinuation of any Community Reward programme.

7.3 No Guaranteed Benefits

7.3.1

Participation in any Community Reward programme, including the JOT Star Programme or OG JOT Star Programme, does not guarantee continued eligibility, future rewards, commercial opportunities, promotional exposure or any specific benefits.

7.3.2

All eligibility criteria, selection processes and programme benefits shall be determined solely by JOT.

8. Pre-Launch Registration, Email Consent and JOT Coins Programme

This Section applies to all individuals who register for early access, join the waitlist, participate in promotional campaigns or otherwise register prior to the official public launch of the JOT mobile application ("Pre-Launch Registrants").

8.1 Consent to Account Creation and Email Communications

8.1.1

By submitting your registration, you expressly authorise and consent to JOT:

  1. collecting, storing and processing your registration information;
  2. automatically creating your JOT account using the email address provided during registration once the Service officially launches;
  3. associating your pre-launch participation history, Community Rewards, referral records and JOT Coins with such account;
  4. sending account verification emails, transactional communications, launch notifications, Community Reward updates, referral information, security alerts and other service-related notices; and
  5. where permitted by applicable law and subject to your communication preferences, sending newsletters, promotional offers, product updates and marketing communications.
8.1.2

You acknowledge that certain communications are necessary for the operation of the Service and cannot be opted out of unless your account is deleted or your registration is withdrawn.

8.2 Sign-Up Rewards

8.2.1

Subject to verification and these Terms, eligible Pre-Launch Registrants may receive promotional JOT Coins as follows:

  1. fifty (50) JOT Coins for a standard eligible registration; or
  2. one hundred and fifty (150) JOT Coins where registration is completed through an eligible OG JOT Star referral link.
8.2.2

Promotional allocations remain subject to fraud detection, verification and final approval by JOT.

8.3 Referral Programme

8.3.1

Eligible users may receive a unique referral link.

8.3.2

Subject to compliance with these Terms, a referrer may receive ten (10) JOT Coins for each successful referral where the referred individual:

  1. registers using the designated referral link;
  2. completes all verification requirements prescribed by JOT; and
  3. satisfies all eligibility requirements applicable to the promotion.
8.3.3

JOT reserves the right to reject or reverse referral rewards where referrals are generated through duplicate accounts, bots, automated systems, fake identities, self-referrals, coordinated abuse, fraudulent activity or any conduct that undermines the integrity of the programme.

8.4 Nature of JOT Coins

8.4.1

Unless expressly stated otherwise in writing by JOT:

  1. JOT Coins remain the exclusive property of JOT;
  2. JOT Coins have no cash value and cannot be redeemed for money;
  3. JOT Coins may not be sold, transferred, assigned, pledged or otherwise dealt with;
  4. JOT Coins do not accrue interest or investment returns;
  5. unused JOT Coins may expire, be adjusted or be forfeited in accordance with these Terms or applicable promotional rules; and
  6. JOT Coins may only be redeemed or utilised in accordance with redemption programmes introduced by JOT from time to time.

8.5 Fraud Prevention

8.5.1

JOT may investigate any account, referral activity, reward accumulation or promotional participation.

8.5.2

Where JOT reasonably believes that fraud, abuse, manipulation or circumvention of these Terms has occurred, JOT may suspend accounts, reverse Community Rewards, cancel JOT Coins, revoke programme eligibility and take any other action permitted by law.

8.5.3

JOT's determination shall be final unless otherwise required by applicable law.

8.6 Promotional Communications

8.6.1

Details relating to promotional campaigns, reward calculations, referral mechanics, campaign durations, bonus allocations and eligibility requirements may be communicated through emails, in-app notifications, official announcements or other communications issued by JOT.

8.6.2

Unless expressly stated otherwise, the most recent published promotional terms applicable to the relevant campaign shall prevail.

9. OG JOT Star Programme

9.1 Eligibility

9.1.1

Participation in the OG JOT Star Programme is by invitation or application only and remains subject to JOT's approval.

9.1.2

Eligibility requirements may include minimum social media following, engagement metrics, content quality, reputation, authenticity, activity level or any other criteria determined by JOT.

9.1.3

Meeting any published eligibility threshold does not guarantee acceptance into the programme.

9.2 Enhanced Referral Benefits

9.2.1

Eligible OG JOT Star participants shall receive a designated referral link.

9.2.2

Individuals registering through such referral link may receive one hundred and fifty (150) JOT Coins instead of the standard registration allocation, subject to verification and campaign eligibility.

9.3 F&B Partnership Benefits

9.3.1

Eligible OG JOT Star participants may receive promotional Food & Beverage partnership packages.

9.3.2

Subject to programme requirements, participants may receive:

  1. three (3) initial F&B partnership packages; and
  2. three (3) additional packages for every five hundred (500) verified successful referrals.
9.3.3

Availability of partnership packages depends upon participating merchants, campaign availability and any additional eligibility requirements determined by JOT.

9.3.4

JOT may substitute, modify or discontinue any partnership benefit without liability.

9.4 Launch Bonus

9.4.1

Subject to compliance with these Terms, verified OG JOT Star participants may receive a promotional launch bonus whereby accumulated eligible JOT Coins are doubled when their official JOT account is activated using the same registered email address.

9.4.2

JOT reserves the right to verify eligibility before granting any launch bonus.

9.5 Programme Administration

9.5.1

JOT may suspend, modify or terminate the OG JOT Star Programme, amend eligibility criteria, revise benefits, withdraw privileges or remove participants from the programme at any time where it reasonably considers such action necessary to protect the integrity of the Service or comply with applicable laws.

9.5.2

Participation in the Programme does not create any employment relationship, agency, partnership, joint venture or entitlement to future commercial opportunities with JOT.

10. Business Users and F&B Registrants

10.1 Registration

Where you register, apply or otherwise indicate that you are acting on behalf of a food and beverage ("F&B") business, restaurant, café, merchant or any other commercial entity (collectively, "Business User"), you represent and warrant that you are duly authorised to act on behalf of such business and to bind it to these Terms.

10.2 Business Onboarding

Following your registration, JOT may contact you regarding business verification, onboarding, listing information, promotional opportunities, partnership programmes, advertising services or any other business-related offerings made available through the Service.

10.3 Additional Business Terms

10.3.1

Your participation as a Business User may be subject to additional agreements, commercial terms, advertising policies, merchant guidelines, partnership arrangements or programme-specific conditions issued by JOT from time to time.

10.3.2

In the event of any inconsistency between these Terms and a separately executed written agreement between JOT and the Business User, the provisions of the separate written agreement shall prevail to the extent of such inconsistency.

11. Business Listings

11.1 Creation of Listings

11.1.1

Business listings may be created through user contributions, publicly available information, authorised business registrations or other lawful sources determined by JOT.

11.1.2

The creation of a business listing does not imply any endorsement, partnership, sponsorship or affiliation between JOT and the relevant business.

11.2 Accuracy of Information

11.2.1

While JOT endeavours to maintain accurate business information, JOT does not represent or warrant that any listing, description, operating hours, menu, pricing, location, photographs, ratings or other business information is complete, accurate or current.

11.2.2

Users should independently verify information before relying upon it.

11.3 Claiming Business Profiles

11.3.1

Eligible businesses may request to verify, claim or manage their business profile through the "For Businesses" platform or by contacting JOT using the contact details provided in these Terms.

11.3.2

JOT reserves the right to require reasonable evidence of ownership, authority or affiliation before granting administrative access to any business profile.

11.4 Listing Management

JOT reserves the right to create, modify, merge, suspend, remove or refuse any business listing where it reasonably considers such action necessary to maintain the integrity, accuracy, security or operation of the Service or to comply with applicable law.

12. Intellectual Property Rights

12.1 Ownership

12.1.1

Except for User Content owned by users, all intellectual property rights in and relating to the Service, including all software, source code, object code, databases, algorithms, artificial intelligence systems, trademarks, trade names, logos, branding, domain names, user interfaces, designs, graphics, text, photographs, videos, audio, documentation, compilations, layouts, business methods and all other content forming part of the Service ("JOT Intellectual Property"), are owned by or licensed to JOT and are protected under applicable intellectual property laws.

12.1.2

Nothing contained in these Terms transfers any ownership rights to you.

12.2 Limited Licence

12.2.1

Subject to these Terms, JOT grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Service solely for its intended purpose.

12.2.2

No other rights are granted, whether expressly, impliedly or otherwise.

12.3 Restrictions

12.3.1

Except with JOT's prior written consent or where expressly permitted by applicable law, you shall not:

  1. reproduce, copy, distribute or commercially exploit any part of the Service;
  2. modify, adapt, translate or create derivative works;
  3. reverse engineer, decompile or disassemble the Service;
  4. remove or alter any copyright, trademark or proprietary notices;
  5. scrape, extract, mine or harvest data from the Service; or
  6. use any JOT Intellectual Property for commercial purposes.
12.3.2

All rights not expressly granted are reserved by JOT.

13. Third-Party Websites and Services

13.1

The Service may contain links to, integrate with, or otherwise enable access to third-party websites, applications, social media platforms, payment providers, mapping services, advertising networks or other third-party services.

13.2

Such third-party services are provided solely for convenience.

13.3

JOT neither owns nor controls such third-party services and does not endorse, guarantee or assume responsibility for their content, availability, security, privacy practices, products or services.

13.4

Your interactions with any third party are solely between you and the relevant third party and remain subject to that third party's own terms, conditions and privacy policies.

13.5

JOT shall not be responsible or liable for any loss, damage or dispute arising from your use of any third-party service.

14. Disclaimers

14.1 General Disclaimer

14.1.1

To the fullest extent permitted by applicable law, the Service is provided on an "as is", "as available" and "with all faults" basis.

14.1.2

JOT expressly disclaims all representations, warranties and conditions, whether express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, reliability, uninterrupted availability or freedom from errors, viruses or harmful components.

14.2 User-Generated Content

14.2.1

Reviews, ratings, recommendations, comments, rankings and other User Content represent the opinions of individual users only.

14.2.2

JOT does not verify, endorse or guarantee the accuracy, completeness, legality, reliability or quality of any User Content and shall not be responsible for any reliance placed upon such content.

14.3 Business Listings

JOT does not warrant that business listings, menus, operating hours, prices, promotional offers, availability, photographs or other business information are accurate or up to date.

14.4 Community Rewards

14.4.1

JOT does not guarantee the continued availability, value, earning rates, redemption opportunities or future existence of Starlets, JOT Coins, referral rewards, rankings, badges, OG JOT Star benefits or any other promotional programme.

14.4.2

Such programmes may be modified, suspended or discontinued at any time.

14.5 No Professional Advice

14.5.1

Content made available through the Service is provided for general informational purposes only and does not constitute professional, legal, financial, accounting, tax, medical or other professional advice.

14.5.2

Users should obtain independent professional advice where appropriate.

15. Limitation of Liability

15.1 Exclusion of Certain Losses

To the maximum extent permitted by applicable law, JOT, its holding companies, subsidiaries, affiliates, directors, officers, employees, agents, licensors and service providers shall not be liable for any indirect, incidental, consequential, exemplary, special or punitive damages, including loss of profits, revenue, business opportunities, goodwill, reputation, anticipated savings, data, business interruption, Community Rewards or other intangible losses arising out of or relating to the Service or these Terms.

15.2 Aggregate Liability

To the fullest extent permitted by applicable law, JOT's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed:

  1. the total amount actually paid by you to JOT during the twelve (12) months immediately preceding the event giving rise to the claim; or
  2. where you have not paid JOT any fees, Ringgit Malaysia One Hundred (RM100.00), whichever is lesser.

15.3 Basis of Bargain

You acknowledge that the exclusions and limitations of liability contained in these Terms are fundamental elements of the agreement between you and JOT and that JOT would not make the Service available on the same terms without such limitations.

15.4 Non-Excludable Rights

Nothing in these Terms excludes, limits or restricts any liability which cannot lawfully be excluded or limited under applicable law, including any rights or remedies that cannot be waived under applicable consumer protection legislation.

16. Privacy Policy

This Privacy Policy explains how JOT collects, uses, stores, shares and protects your personal information when you access or use the Service. It forms part of these Terms and should be read together with them. By accessing or using the Service, you acknowledge that you have read and understood this Privacy Policy and agree to the collection, use and processing of your personal information in accordance with these Terms and applicable laws.

16.1 Information We Collect

16.1.1

We collect the information you provide when you create an account, join our waitlist, participate in our pre-launch campaigns, use the Service, contact us or interact with other users. This may include your name, email address, password, profile photo, biography, food preferences, social media information, reviews, ratings, comments, photos, videos, referral information, JOT Coins, Starlets, business information, customer support enquiries, and any other information you choose to provide.

16.1.2

We also automatically collect certain technical and usage information, including your IP address, browser type, device information, approximate location, pages visited, searches performed, interactions with the Service, cookies and similar technologies used to improve your experience and maintain the security of the Service.

16.2 How We Use Your Information

16.2.1

We use your information to provide, operate, maintain and improve the Service, personalise your experience, create and manage your account, administer JOT Coins, Starlets, referral programmes and other community features, verify businesses and creators, communicate with you about your account, promotions and updates, detect fraud and misuse, protect the security of the Service, comply with legal obligations, enforce these Terms and for any other purpose permitted by applicable law.

16.2.2

If you register before the official launch of the JOT mobile application, we may use the email address you provided to automatically create your JOT account, transfer your pre-launch rewards and send you notifications relating to your account, JOT Coins, referrals and the launch of the Service.

16.3 Cookies and Similar Technologies

We use cookies and similar technologies to remember your preferences, keep you signed in, improve the performance of the Service, understand how users interact with the platform, personalise content and maintain the security of the Service. You may manage your cookie preferences through your browser settings, although disabling cookies may affect certain features of the Service.

16.4 How We Share Your Information

16.4.1

We do not sell your personal information. We may share your information with service providers who help us operate the Service, with businesses where necessary to respond to reviews or manage business profiles, with our professional advisers, affiliates and business partners where appropriate, in connection with a merger, acquisition or sale of our business, or where required by law or necessary to protect the rights, property or safety of JOT, our users or others.

16.4.2

As JOT is a community platform, certain information such as your username, profile, reviews, ratings and other content you choose to publish will be visible to other users. Your email address and other private contact information will not be publicly displayed unless you choose to make them public.

16.5 Data Retention

We retain your personal information for as long as necessary to provide the Service, comply with our legal obligations, resolve disputes, enforce these Terms and protect the integrity of the platform. Where permitted by law, some reviews, ratings and other public content may remain visible after your account is deleted in an anonymised or de-identified form.

16.6 Data Security

We take reasonable technical, organisational and administrative measures to protect your personal information against unauthorised access, loss, misuse, alteration or disclosure. However, no method of storing or transmitting information over the internet is completely secure, and we cannot guarantee absolute security.

Depending on the laws that apply to you, you may have the right to access, update, correct or delete your personal information, object to or restrict certain processing, withdraw your consent where processing is based on consent, request a copy of your personal information, or opt out of marketing communications. JOT is not intended for children who do not meet the minimum age requirements set out in these Terms. Your personal information may be processed or stored in countries outside your country of residence where JOT, its affiliates or service providers operate. Where required by applicable law, we will take reasonable steps to ensure your personal information continues to receive an appropriate level of protection.

16.10 Third-Party Services

The Service may contain links to or integrate with third-party websites, applications or social media platforms. Those third parties operate under their own privacy policies and terms, and JOT is not responsible for their privacy practices or content.

Your continued use of the Service after the updated Privacy Policy becomes effective constitutes your acceptance of the revised Privacy Policy, to the extent permitted by applicable law.

17. Indemnity

You agree to indemnify, defend and hold harmless JOT, its affiliates, directors, officers, employees, agents, partners and service providers from and against any claims, actions, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your User Content, your breach of these Terms, your violation of any applicable law or the rights of any third party, or your participation in any referral programme, Community Rewards programme, JOT Coins, Starlets, JOT Star, OG JOT Star or any other promotional campaign offered by JOT.

18. Suspension and Termination

18.1

You may stop using the Service and request the deletion of your account at any time, subject to these Terms and applicable law.

18.2

JOT may suspend, restrict or terminate your account, remove your User Content, cancel any Community Rewards or restrict your access to the Service at any time, with or without prior notice, if we reasonably believe that you have breached these Terms, violated any applicable law, engaged in fraudulent or abusive activity, manipulated referrals or rewards, provided false or misleading information, or otherwise used the Service in a manner that may harm JOT, its users or any third party.

18.3

Termination or suspension of your account does not affect any rights, obligations or liabilities that have accrued before the date of termination, including JOT's right to retain information where required or permitted by applicable law.

19. Changes to these Terms

19.1

JOT may update or amend these Terms from time to time to reflect changes to the Service, applicable laws or our business practices.

19.2

Where appropriate, we will publish the updated Terms on the Service and update the "Last Updated" date. If the changes are material, we may also notify you by email, through the Service or by any other reasonable means.

19.3

Your continued access to or use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

20. Governing Law and Dispute Resolution

20.1

These Terms shall be governed by and construed in accordance with the Laws of Malaysia.

20.2

The parties shall first endeavour to resolve any dispute arising out of or in connection with these Terms through good faith discussions and negotiations.

20.3

If the dispute cannot be resolved within a reasonable period, either party may refer the dispute to the courts of Malaya, which shall have exclusive jurisdiction, subject to any mandatory rights or remedies available under applicable consumer protection laws.
